1. Agreement to These Terms
These Terms and Conditions (“Terms”) constitute a binding agreement between the person or organization using a Jamie Lynn Services offering (“Customer,” “you,” or “your”) and Jamie Lynn Services (“JLS,” “we,” “us,” or “our”). By purchasing, subscribing to, activating, authenticating into, installing, accessing, accepting, or using a JLS product or service that is made subject to these Terms, you agree to these Terms and to any additional written terms applicable to the specific engagement.
If you accept these Terms on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. If you do not have that authority, you may not accept these Terms on its behalf.
2. Scope of JLS Services
Jamie Lynn Services provides business-to-business services unless a product, product-specific terms statement, individualized contract, or direct written communication expressly states otherwise.
“Services” includes, without limitation, any present or future website, page, software component, browser extension, chatbot, application, dashboard, API connection, integration, continuity counter, trust mark, configured environment, hardware, workstation, operational service, consulting service, documentation service, training service, support service, research service, publishing service, implementation service, custom build, or other product or service provided by or through JLS and made subject to these Terms. Other services may also be provided.
JLS may add, remove, revise, combine, configure, or discontinue components, features, pages, software, integrations, delivery methods, or service offerings. The existence of a particular component or example in these Terms does not require JLS to offer that component to every customer.
The applicable proposal, order, invoice, statement of work, product-specific terms statement, subscription selection, signed agreement, or other written engagement document controls the actual scope, configuration, price, timing, deliverables, commitments, and customer-specific obligations for that engagement.
3. Related Companies, Partners, Contractors, and Service Providers
JLS may perform work independently or in cooperation with sister companies, affiliates, contractors, authorized representatives, service providers, partners, financial institutions, software providers, infrastructure providers, and other third parties. Sister-company relationships may include Engineered Launch and Coby & Bam.
JLS may use contractors or authorized representatives for technical work, writing, publishing, implementation, support, research, operational work, proxy activity, or activity performed under documented authority, including a power of attorney where specifically granted.
Third parties remain responsible for their own products, systems, conduct, terms, privacy practices, security, availability, and legal obligations. JLS does not become responsible for an independent third party merely because that provider is linked, integrated, recommended, embedded, used in an engagement, or available through a JLS service.
4. Product-Specific and Consumer Exceptions
JLS is principally a business-to-business provider. A product intended for personal, family, student, or other non-business use may operate under separate product-specific terms and privacy disclosures.
CobyAI Stars operates on its own subdomain and has its own Terms and Privacy Policy. Unless otherwise stated for that product, CobyAI Stars is intended for personal rather than business-to-business use. Where a product-specific terms statement or individualized written agreement differs from these general Terms, the more specific written terms govern that product or engagement to the extent of the difference.
5. Customer Authority and Instructions
You represent that you have the rights, permissions, authority, licenses, approvals, and access necessary to instruct JLS to perform work involving the websites, accounts, systems, devices, data, software, content, networks, records, or other property you identify for an engagement.
JLS may rely on instructions received from the customer, an authorized account user, or another person reasonably represented as authorized for the engagement. You are responsible for the legality and accuracy of the instructions, materials, permissions, and access you provide.
Where JLS is authorized to act as a proxy, agent, contractor, technical operator, publisher, administrator, or attorney-in-fact, the scope of that authority is limited to the applicable written authorization and does not create broader authority than the customer has expressly granted.
6. Accounts, Authentication, Usernames, and Credentials
JLS may use third-party authentication providers or other account-access systems. You are responsible for maintaining control of your authentication credentials, devices, accounts, and recovery methods and for activity performed through an account under your control.
JLS does not accept responsibility for remembering, storing for the customer, recovering, or safeguarding passwords maintained by third-party identity providers or passwords or credentials controlled by the customer. Where a JLS product requires a username or other product-specific credential, including CobyAI Stars chat access, the user is responsible for remembering and appropriately safeguarding that credential unless the applicable product terms expressly state otherwise.
You must not impersonate another person or organization or misrepresent your authority to act for an organization.
7. Fees, Orders, Invoices, and Payment Providers
Fees are those presented in the applicable order, invoice, proposal, product page, checkout, subscription selection, or written agreement at the time the customer accepts the transaction. JLS may change pricing for future transactions without amending these Terms.
JLS may use PayPal, Mercury, Stripe, banks, ACH providers, and other payment or financial providers now or in the future. A payment provider’s own terms, privacy practices, security procedures, processing rules, dispute procedures, and availability govern that provider’s independent services.
The consultation fee, when applicable, reserves consultation access and may be credited to the selected engagement as stated in the applicable offer or engagement terms. These Terms intentionally do not state a fixed consultation price.
You are responsible for amounts properly due under an accepted order, invoice, subscription, signed agreement, or other binding engagement and for applicable taxes except taxes imposed on JLS income.
8. Refunds, Withdrawal, and Contract Commitments
Refund and withdrawal treatment is governed by these Terms, the JLS Risk Free Terms, and any applicable signed agreement or specific written engagement terms.
Unless an applicable signed agreement expressly states a different withdrawal period, a signed contract includes a thirty-day withdrawal period. After that period, the contractual commitment may not be cancelled where JLS has undertaken the corresponding service, scheduling, software, infrastructure, storage, licensing, hardware, third-party, staffing, or other commitments required for the engagement.
An applicable signed agreement may establish a different withdrawal period, commitment, cancellation rule, subscription term, deployment commitment, add-on obligation, infrastructure commitment, or other condition. Where it does, that signed agreement controls the specific engagement.
Money that has not been committed or spent for a customer may be eligible for return as described in the Risk Free Terms. Amounts already attributable to work performed, direct expenses, purchased materials, third-party charges, project-specific research, implementation, committed funds, cloud or storage commitments, licensing, hardware, professional review, or other customer-specific obligations may not be refundable.
9. Subscriptions and Continuing Services
Some Services may be provided on a recurring, subscription, retainer, support, hosting, storage, licensing, or other continuing basis. The applicable offer or signed agreement determines the billing period, duration, renewal structure, cancellation rights, included services, usage limits, and any minimum commitment.
Acceptance of a recurring service authorizes the payment method or invoicing arrangement stated for that service for the agreed term, subject to the applicable written agreement and law.
10. Software, Hardware, Workstations, Extensions, Trust Marks, and Continuity Components
JLS may provide or configure software, hardware, workstations, browser extensions, scripts, trust marks, continuity counters, rendered graphics, APIs, integrations, credentials, code, downloadable components, or other technical assets as part of a Service.
Unless ownership is expressly transferred in writing, JLS retains all right, title, and interest in JLS-created software, code, methods, systems, templates, designs, marks, graphics, documentation, workflows, configurations, processes, knowledge structures, and other intellectual property. The customer receives only the rights expressly stated for the applicable product or engagement.
Trust marks, continuity counters, hosted graphics, certificates, status displays, or similar JLS-controlled components may be served, updated, suspended, or withdrawn by JLS according to the applicable service, configuration, account status, security condition, or written agreement.
11. License and Acceptable Use
Subject to payment of applicable fees and compliance with these Terms and any applicable written agreement, JLS grants the customer a limited, non-exclusive, non-transferable right to use the applicable JLS Service for the authorized business or product-specific purpose during the authorized term.
Except where expressly permitted in writing or required by law, you may not copy, resell, sublicense, reverse engineer, circumvent access controls, defeat security measures, misrepresent ownership, remove proprietary notices, use a JLS mark or trust indicator without authorization, interfere with the Service, introduce malicious code, scrape restricted areas, or use the Service to violate law or the rights of another person.
12. Feedback and Customer-Provided Materials
If you voluntarily provide suggestions, feedback, defect reports, enhancement requests, or ideas concerning a JLS product or service, JLS may use that feedback to improve, modify, or develop products and services without owing compensation for the feedback itself, unless a separate written agreement states otherwise.
You retain ownership of customer materials you provide unless a written agreement states otherwise, but you grant JLS the rights reasonably necessary to receive, process, reproduce, transform, transmit, store, or otherwise use those materials to perform the authorized engagement.
13. Compliance, Professional Responsibility, and Human Review
No JLS product, document, consultation, workflow, software installation, configured environment, automation, technical system independently creates HIPAA, ISO, FDA, legal, tax, accounting, insurance, or other regulatory compliance. JLS may provide tools, documentation, processes, configurations, or operational support that assist a customer’s compliance program, but the customer remains responsible for its own policies, approvals, training, configuration, records, professional obligations, and conduct.
Deterministic behavior applies only where an agreed customized installation has been completed and accepted by the parties for the applicable function. AI, model, consensus, research, generated, inferred, or probabilistic outputs may contain errors and require appropriate human review before consequential use.
JLS tools support decisions and operations; they do not transfer the customer’s legal, professional, managerial, clinical, financial, operational, or regulatory responsibility to JLS unless a signed agreement expressly assigns a specific responsibility.
14. Third-Party Services and Integrations
Services may connect to or depend upon third-party hosting, identity providers, payment providers, banks, communications systems, email systems, calendar providers, APIs, AI providers, software services, devices, infrastructure, or other third-party products.
If you authorize a third-party integration, follow a third-party link, use an embedded provider, or direct JLS to transmit information to a third party, that provider’s own terms and policies apply to its independent conduct. JLS is not responsible for a third party’s availability, security, privacy practices, content, pricing, service quality, decisions, or acts or omissions.
15. Confidentiality and Information Handling
JLS will handle customer information according to the JLS Privacy Policy, applicable product-specific privacy terms, applicable written agreements, and law. Where an engagement includes separate confidentiality, data-protection, BAA, security, or information-governance terms, those more specific written terms govern that subject.
16. Suspension and Termination
JLS may suspend or terminate access to a Service where reasonably necessary because of nonpayment, expiration or termination of an applicable agreement, material breach, unauthorized use, security risk, unlawful conduct, interference with systems, misuse of JLS property, or another condition identified in the applicable agreement.
Termination does not eliminate payment obligations, confidentiality duties, intellectual-property protections, incurred expenses, contractual commitments, or other provisions that by their nature survive termination.
17. Service Availability and Changes
JLS may modify, maintain, update, patch, replace, suspend, or discontinue features, components, providers, integrations, or delivery methods where reasonably necessary to operate, secure, improve, or support a Service. JLS does not promise uninterrupted or error-free availability of websites, software, APIs, third-party systems, networks, hardware, hosting, or other technology.
Where a material change affects a contracted deliverable or commitment, the applicable signed agreement controls the parties’ obligations.
18. Disclaimer of Warranties
Except for an express warranty contained in an applicable signed agreement, and to the fullest extent permitted by law, JLS Services are provided on the terms stated for the applicable engagement without implied warranties beyond those that cannot lawfully be excluded. JLS does not warrant that every software output, AI output, third-party service, integration, recommendation, generated document, research result, security measure, or operational result will be uninterrupted, error-free, complete, or suitable for every purpose.
19. Limitation of Liability
To the fullest extent permitted by law and unless an applicable signed agreement expressly provides otherwise, JLS’s aggregate liability arising from an engagement will not exceed the amounts paid to JLS for the specific engagement giving rise to the claim, less direct expenses and third-party amounts incurred by JLS for that engagement.
To the fullest extent permitted by law, JLS is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits; lost opportunities; loss of data; or losses resulting from third-party systems or conduct, except where such limitation is prohibited by applicable law.
20. Customer Responsibility and Indemnification
To the fullest extent permitted by law, the customer is responsible for claims, losses, or expenses resulting from the customer’s unlawful instructions, unauthorized materials, infringement of third-party rights, misuse of the Services, misrepresentation of authority, violation of these Terms, or use of JLS work in a manner materially inconsistent with the applicable engagement.
Any indemnification obligation contained in an applicable signed agreement controls to the extent it differs from this section.
21. Governing Law and Dispute Resolution
Jamie Lynn Services is formed in and governed by the laws of the State of New York. These Terms and the relationship governed by them are governed by New York law, without regard to conflict-of-law principles that would require application of another jurisdiction’s law.
The parties will first attempt in good faith to resolve disputes directly. Any arbitration, mediation, venue, forum-selection, or other dispute-resolution procedure stated in an applicable signed agreement governs that engagement. Nothing in these Terms creates a Delaware, Florida, Miami-Dade County, or other jurisdictional requirement unless an applicable signed agreement expressly establishes one for a particular engagement.
22. Order of Precedence
If documents applicable to an engagement conflict, the more specific written agreement controls the subject it specifically addresses. Unless the applicable documents expressly establish a different priority, the following general order applies: signed individualized agreement or statement of work; product-specific terms; accepted order or subscription terms; Risk Free Terms for refund and withdrawal matters; these general Terms; then general descriptive website content.
A product page describes an offering but does not override a signed agreement concerning scope, price, timing, deliverables, commitments, or customer-specific obligations.
23. Changes to These Terms
JLS may revise these general Terms as services, providers, laws, technologies, or operating practices change. A revision to these general Terms does not retroactively alter a separately signed agreement unless that agreement permits the change or the parties agree to it.
The effective date identifies the version of these Terms then in effect for general use. Material changes affecting an authenticated account or continuing service may also be communicated through an account, dashboard, written notice, or other reasonable mechanism when appropriate.
24. General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
The customer may not assign an engagement or rights under these Terms without JLS consent where the identity, authority, risk, licensing, technical environment, or customer-specific work materially matters to performance. JLS may use affiliates, sister companies, contractors, service providers, or successors as reasonably necessary to perform or continue Services, subject to applicable written obligations.
Headings are for convenience and do not limit the substantive meaning of a provision.
